Terms of Service

These Terms of Service ("Terms") form a binding agreement between you ("you" or "Customer") and Sorion, Inc. ("Sorion," "we," "us," or "our") governing your access to and use of the Sorion website, waitlist, dashboard, and related services (collectively, the "Service"). By creating an account, joining the waitlist, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Description of the Service

Sorion is an AI-powered content strategy platform for creators. Once you connect a supported social account (currently TikTok and Instagram, with additional platforms planned), Sorion analyzes your published content and performance data to generate analytics, recommendations, scripts, scheduling suggestions, and other insights (the "Companion", "Creator Memory", and related features). The Service is currently offered on a waitlist basis; access to paid tiers is granted in batches as capacity becomes available.

2. Eligibility and Accounts

You must be at least 16 years old to use the Service, and if you are between 16 and the age of majority in your jurisdiction, you represent that a parent or guardian has reviewed and agrees to these Terms on your behalf. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must provide accurate information when registering and keep it up to date.

3. Connecting Third-Party Platforms

The Service integrates with TikTok, Instagram, and (in the future) other third-party platforms via their respective official APIs. By connecting an account, you authorize Sorion to access content, metadata, and analytics associated with that account to the extent permitted by the platform and by you. Your use of those platforms remains subject to their own terms of service, and Sorion is not responsible for changes, outages, rate limits, or policy decisions made by TikTok, Instagram, Meta, ByteDance, or any other third party that affect the availability of connected data. You may disconnect a platform at any time from your account settings.

4. Subscriptions, Billing, and the Waitlist

Paid subscription plans are billed on a recurring basis (monthly, unless otherwise stated) through our payment processor, Whop, Inc. ("Whop"). Whop acts as merchant of record for these transactions; by subscribing, you also agree to Whop's applicable terms and privacy policy for payment processing. We do not store your full payment card details.

Some plans are offered as part of a waitlist: joining does not guarantee immediate access, and any listed price reflects the rate that will apply once your account is activated, which we will communicate to you before any charge takes effect beyond an initial authorization, if any. Subscriptions renew automatically at the then-current price for your plan until cancelled. You can cancel at any time from your account settings or by contacting us; cancellation takes effect at the end of the current billing period, and we do not provide prorated refunds for partial periods except where required by law.

5. Your Content and License to Us

"Your Content" means any content, data, or information you submit to the Service or that we retrieve from a connected platform on your behalf, including video metadata, captions, comments, and performance metrics. You retain all ownership rights in Your Content. You grant Sorion a limited, non-exclusive, worldwide license to access, store, process, and analyze Your Content solely to operate, provide, maintain, and improve the Service for your account, including generating your personalized Creator Memory, analytics, and recommendations. We do not sell Your Content, and we do not use Your Content to train models shared across other customers' accounts.

6. AI-Generated Output and No Guarantee of Results

The Service uses automated systems, including large language models and statistical analysis, to generate scripts, hooks, scheduling suggestions, virality scores, and similar output ("AI Output"). AI Output is provided for informational and creative assistance only. It may be inaccurate, incomplete, or unsuitable for your specific circumstances, and you are solely responsible for reviewing and deciding whether to publish, act on, or rely on any AI Output. Sorion makes no guarantee that following any recommendation will increase views, followers, engagement, or revenue.

7. Acceptable Use

You agree not to:

• Use the Service to violate any applicable law, or the terms of any connected platform;
• Attempt to reverse engineer, scrape, or gain unauthorized access to the Service or its underlying systems;
• Connect a social account you are not authorized to manage, or use the Service to impersonate any person or entity;
• Use automated means to exceed reasonable usage of the Companion beyond your plan's limits, or resell or sublicense access to the Service without our written consent;
• Upload or transmit content that is unlawful, infringing, or that contains malicious code.

8. Intellectual Property

Sorion and its licensors retain all right, title, and interest in and to the Service, including its software, design, trademarks, and underlying technology. These Terms do not grant you any rights to Sorion's intellectual property except the limited right to use the Service as permitted here.

9. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you materially breach these Terms, if required by law, or if we discontinue the Service, with notice where reasonably practicable. Upon termination, your right to use the Service ends immediately; provisions of these Terms that by their nature should survive (including Sections 5, 6, 10, and 11) will survive.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY AI OUTPUT WILL BE ACCURATE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SORION AND ITS OFFICERS, EMPLOYEES, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID TO SORION IN THE TWELVE MONTHS PRECEDING THE CLAIM.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Any dispute arising out of these Terms will be resolved in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service before the changes take effect. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
